Handles day-to-day routine legal tasks as per the Legal Support Centre Service Catalogue and provides legal support to the Legal Counsels based in Europe and Africa
The Legal Support Center Service Catalogue covers contracts review and drafting (both client and supplier contracts), regulatory compliance, implementation of the company’s ethics and compliance program, labor issues, legal knowledge management, disputes and litigation, IP and corporate legal tasks
Supports the Legal Support Centre Manager, the Legal & Compliance Team Lead and the local Legal Counsels in their interaction with the HQ and the other departments of the company to ensure the Legal Department's involvement in all matters that may have a legal impact on Schlumberger;
Assists the Legal Support Centre Manager to implement workflows, processes, procedures, practices, guidelines, playbooks and templates;
Participates in the Legal Department training and development initiatives and completes all assigned trainings;
Participates in assigned Legal Department Management strategic initiatives;
Must become familiar with and use all Legal Department systems and tools and contribute to the Legal Knowledge Management System developed by the company
Conduct site audits, incident investigations, and contract reviews
Assist in the management of claims, disputes and litigation
Reviews, negotiates and drafts Contracts with Schlumberger clients and/ or suppliers for the provision of Schlumberger products and/or Services
Drafts and/ or reviews and communicates exceptions to tender documents and RFQ´s
Develops and administers contracts under supervision, and ensures compliance with administrative procedures
Monitors Purchase Orders to ensure compliance with Schlumberger Policies and highlights and reports any deviations from our Contracts Risk Standard
Promotes compliance with the SEC and GeoMarket tender procedures
Ensures compliance with Schlumberger policies, standards, procedures, and contractual obligations
Uploads and ensures the database is properly updated as contract changes and events occur
Identifies and proposes improvements to existing contracting procedures
Assists SEC, Contracts, Procurement, Sourcing and Sales & Marketing as required
Participates in presentations and workshops related to contracting standards, processes and/or reviews
Collaborates with the Legal Department, as appropriate to ensure contractual risks are clearly identified and properly addressed in contractual provisions
Negotiate and draft, in coordination with SIS Legal Counsel and SIS Partnership Manager, key vendor alliances (marketing alliance, joint development agreements, NDA’s, reseller agreements, etc.) and supplier agreements (evaluation agreements, technology access agreements, technology implementation agreements, hotel, facilities and event agreements)
Negotiate, in coordination with field lawyers, multi-jurisdictional client agreements (., Master Software License and Maintenance Agreements, Services Agreements SaaS/Cloud agreements)
Conduct research as requested by other members of the SIS Legal Department to assist SIS Legal Department in ensuring compliance with all software and IT related regulatory and applicable law requirements, . data protection, residency, encryption, cybersecurity, discovery, certifications, competition law etc
Prepare and provide training on SIS and Schlumberger policies and procedures to LSC and field legal and contracts staff, and also participate in the Legal Department training and development initiatives and completes all assigned training;
Conduct site audits, incident investigations, and contract reviews of SIS operations
Assist in the management of SIS related claims, disputes and litigation
Assist with due diligence for M&A and JV projects
Provide support to field Lawyers regarding SIS specific legal issues – model contracts, training and best practices
Work closely with the Third-Party License Manager to manage and negotiate licenses and partnerships with third-party software providers
Supports the Legal Support Centre Manager, Legal & Compliance Team Lead and GeoMarket Legal Counsel in their interaction with the Product Lines and Geomarket support functions and departments to ensure the Legal Department's involvement in all matters that may have a legal impact on Schlumberger;
Assists the Legal Support Centre to implement workflows, processes, procedures, practices, guidelines, playbooks and templates;
Participates in assigned Legal Department Management strategic initiatives;
Must become familiar with and use all Legal Department systems and tools and contribute to the Legal Knowledge Management System, LawHub and assists with the maintenance and content update of the GeoMarkets’ Legal webpages
